The Annual General Meeting of shareholders of the Joint Development Bank Public (JDB) for the year 2025 was held on the morning of April 29, 2026, at the 6th floor meeting room of JDB’s headquarters in Vientiane.
The meeting was presided over by the Chairman of JDB’s Board of Directors, Mr Vilay Syphaphone, together with Directors of the Board of Directors, Board of Management, representatives of the Lao Securities Commission, Lao Securities Exchange, external audit firm, and shareholders.
The meeting was attended by 50 shareholders with total 658,184,634 shares or equal to 87.758 percent of the total shares of JDB; 1 proxy with total 30,359,975 shares or equal to 4.048 percent; 308 online participants with total 14,357,091 shares or equal to 1.941 percent.
The quorum of the meeting was attended with total 359 shareholders with total 702,901,700 shares or equal to 93.720 The quorum of the meeting of the total 2,054 shareholders of total 750,000,000 shares.

The number of shareholders not attending the meeting hold 47,098,300 shares, equivalent to 6.28 of the quorum of the meeting of the total shares of JDB.
The meeting commenced with the Chairman of the Board of Directors of JDB, Mr Vilay Syphaphone, delivering a welcome address and formally opening the meeting.
Subsequently, the Managing Director of JDB, Mr Sakhone Yorphanxay, proceeded to lead the meeting agenda, which comprised 10 items as follows:
Agenda 1: To consider and adopt the Resolution of the 2024 Annual General Meeting of Shareholders.
Agenda 2: To consider and approve the Registered Capital Increase via Share Premium for a Bonus Issue to existing shareholders.
Agenda 3: To consider and approve the annual report on the operational performance and the audited financial statements of JDB for 2025.
Agenda 4: To consider and approve the business plan for 2026.
Agenda 5: To consider and approve the investment in Individual Fund.
Agenda 6: To consider and approve the Joint Venture to establish the Lao Asset Management Company Limited.
Agenda 7: To consider and approve the dividend distribution plan of JDB for the year 2025.
Agenda 8: To consider and approve the appointment of the External Auditor for the 2026 fiscal year.
Agenda 9: To consider and approve the amendment of JDB’s Organisational Chart.
Agenda 10: To consider and approve the amendment of JDB’s Articles of Association.
The meeting was conducted with all 10 agenda items reviewed, considered and approved, and the resolutions were passed by a majority vote of the shareholders attending the meeting. In particular, the meeting approved the dividend payment plan of JDB as follows: proposed dividend of 800 LAK/share, with a total dividend amount of 600,000,000,000 LAK. Dividend payment date: May 25, 2026.
At the end of the meeting, Chairman of the Board of Directors of JDB, Mr Vilay Syphaphone, delivered the closing remarks. He also extended his best wishes to all participants, wishing them good health and continued success in their businesses, with further growth and expansion in line with the bank’s motto: “BLOOMING TOGETHER”.
