    From a company with an initial capital of 3.5 million ALL, to a bank with a capital of 2.46 billion ALL within a few months. Meanwhile, ownership is transferred to a Dutch holding, but in the register of beneficial owners Idan Avishai continues to appear as the controller of 71.52% of the capital. Companies from Cyprus, Israel and the Netherlands appear in the new structure, while some of the names associated with the bank have a documented history in Forex activity.

    The history of Banka Jet starts with the company “JET ALBANIA”, which had Idan Avishai as its sole partner and administrator.

    On July 31, 2025, by decision of the assembly of the sole partner, Avishai left the post of administrator and Fatbardha Rino was appointed in his place.

    But his departure from the administration would not mean the separation from the ownership structure. According to the data of the Register of Beneficial Owners deposited in the KKB, Avishai would continue to appear as the beneficial owner of an overwhelming part of the bank’s capital.

    January 2026: JET Albania becomes the Jet Bank

    On January 19, 2026, by decision of the sole shareholder’s assembly, the entity’s name changed from “JET ALBANIA” to “Banka Jet”.

    On the same date, the trade name “Jet Bank” was added.

    The name change marked another phase of the project, while the management structures also changed in the same period.

    Philippe Edgar Meyer, Robert Ryan Rudolph, Fatbardha Rino, Aigest Milo and Alketa Emini were added to the supervisory board, starting on January 19, 2026.

    Later records reflect the departure from the board of directors of Robert Ryan Rudolph, Alketa Emini, Fatbardha Rino and Philippe Edgar Meyer.

    January 26, 2026: direct owner changes

    A day after the change of commercial and legal name, another important movement in the ownership structure took place.

    According to the share purchase agreement, dated January 26, 2026, Idan Avishai sold 100% of the shares he owned in favor of the company Jet Holdings BV

    The sale price was 972 thousand ALL.

    The transaction was reflected in the KKB on January 27, 2026. Avishai left as a partner and Jet Holdings BV became the sole partner, with 100% of the shares.

    At first glance, this would mean removing Avishai from direct ownership. But beneficial ownership documents paint a different picture.

    Avishai continues to appear as the beneficial owner of 71.52%

    According to the Historical Extract of the Register of Beneficial Owners, filed with the KKB on February 16, 2026 and withdrawn on September 10, 2026, Idan Avishai, an English citizen, is the beneficial owner of 71.52% of the capital of Banka Jet.

    According to this documentation, control is exercised through a chain of companies.

    Avishai owns 100% of Constador LTD, a company registered in Cyprus with NIPT HE 478734.

    Constador LTD owns 71.52% of Jet Holdings BV

    Meanwhile, Jet Holdings BV owns 100% of Banka Jet.

    Jet Holdings BV is a company registered under Dutch law, with headquarters in ‘s-Gravenhage and registration number 98334050.

    In the register of beneficial owners, the date of designation of Idan Avishai as the beneficial owner is July 8, 2025.

    So, while in January 2026 Avishai formally leaves as a direct partner of the Albanian company, in the register of beneficial owners he continues to appear as the beneficial controller of 71.52% of Banka Jet through the structure Constador LTD-Jet Holdings BV

    Six companies behind Jet Holdings

    The structure of Jet Holdings does not only consist of Constador LTD.

    According to the filed documentation, Jet Holdings has six joint stock companies:

    Constador LTD, registered in Cyprus – approximately 71.5%;

    Don Albania Holdings LTD, registered in Israel – 3.7%;

    Ori Eyal LTD, registered in Israel – 2.6%;

    Yebogogo LTD, registered in Israel – 4.9%;

    Nathan Lawrence LTD, registered in Israel – 4.9%;

    Israel Albania Holding LTD, registered in Israel – 12.4%.

    Thus, behind the direct shareholder, a Dutch company, appears a structure consisting of companies registered in Cyprus and Israel, while the main part of the control is related to Constador LTD.

    From 3.5 million to 2.46 billion ALL capital

    One of the strongest changes of Banka Jet during 2026 is the capital increase.

    The founding capital of the company was 3.5 million ALL. But within a few months the capital increased several times.

    On February 23, 2026, by decision of the sole shareholder, the increase of the capital by ALL 1.056 billion was approved, through the cash contribution of the sole shareholder. After this increase, the capital reached 1.0595 billion ALL.

    On April 16, 2026, another increase of 136,731 million ALL was approved, this time through the capitalization of the loan, converted into ALL. The capital reached 1.196231 billion ALL.

    Just a few days later, on April 22, 2026, another increase was approved, amounting to 382,040 million ALL, through the cash contribution of the sole shareholder. The capital reached 1.578271 billion ALL.

    On June 5, 2026, 336,015 million Lek was added to the capital, through the contribution to liquid assets of the sole shareholder. The capital became ALL 1.914286 billion.

    And on August 25, 2026, the next increase was approved, of 551.1 million ALL, again through the contribution of the sole shareholder in liquid assets. After this increase, Banka Jet’s capital reached:

    2.465386 billion ALL.

    So, from the initial capital of 3.5 million lek, the company moved to a capital of about 2.46 billion lek, through five consecutive increases during 2026.

    Names behind the bank and links to Forex

    Another element that stands out in this structure is the professional connections of some of the people involved in Forex activity.

    Louis Grant Silver, director of Constador LTD, turns out to have a career in foreign currency investing, known as Forex.

    According to available materials, Silver still serves as an active director of Fortrade Limited, the company that operates in this activity.

    Also, his partner Oliver Hemmer turns out to be the head of Fortrade Cyprus, the Cypriot subsidiary of Fortrade.

    This panorama also includes Idan Avishai, who, in addition to still being the beneficial owner of 71.52% of Banka Jet according to the Albanian register, is connected to Fortrade and has a long experience in Forex activity.

    These connections are particularly important to highlight because of the role these persons have or have had in the structures related to Banka Jet.

    A formal change, but beneficial ownership remains in the same hands

    The chronology of developments shows a rapid transformation. In July 2025, Idan Avishai steps down as administrator. In January 2026, the company changes its name from JET ALBANIA to Banka Jet, while adding the commercial name Jet Bank. A few days later, Avishai sells 100% of the shares to Jet Holdings BV. But the beneficial owners document filed with the KKB in February and withdrawn in September 2026 again identifies Avishai as the beneficial owner of 71.52% of Banka Jet. Meanwhile, through Constador LTD and Jet Holdings BV, the bank’s capital increases from ALL 3.5 million to ALL 2.465 billion, while companies from the Netherlands appear in its structure. Cyprus and Israel.

    And on top of this structure, another point that requires attention is the connections of some of the main people with the Forex industry, which includes names like Louis Grant Silver, Oliver Hemmer and Idan Avishai. In this sense, the story of Banka Jet is not simply the story of a name change. Within a few months we have a change of direct owner, a new international ownership structure, changes in the governing bodies and an extraordinary capital increase, while the beneficial ownership of the main part of the bank continues to be linked, according to the filed documents, to Idan Avishain. This structure raises legitimate questions about ownership transparency, the origin and method of capital injection, as well as the relationship of the people behind the bank to Forex activity. It is precisely these elements that make it necessary to see the control structure and its history beyond merely formal changes in the company registers.
