    The board of directors of the Tivat utility company passed the Decision on issuing a power of attorney to the executive director at an electronic session Drag Stanisic and thus prevented Komunalno, at the dawn of the main part of the summer tourist season, from being “beheaded” and brought to a blockade, caused by political disputes within the local ruling coalition.

    The decision, as announced, was made in accordance with the possibility provided by the Company’s Statute.

    “With this Decision, the problem that arose because the decision of the Board of Directors on the election of Stanišić from November 27, 2025 was not included in the agenda of the Municipal Assembly, which prevented him from fully performing his duties. The procura will be valid until the Board of Directors’ decision is verified at the Assembly, when it is held,” the Board of Directors announced.

    As stated in the decision, the procurator is authorized to represent and represent the Company in internal and external legal transactions, conclude contracts, sign acts and other business documentation, undertake legal and factual actions necessary for the regular and smooth operation of the Company, represent the Company before courts, state bodies, local self-government bodies, banks and other financial institutions, and undertake actions related to the Company’s financial operations, including signing payment orders, travel orders, orders for official trips, documentation necessary for the fulfillment of the Company’s financial obligations, as well as other actions necessary for the regular functioning of the Company.

    On November 27 last year, after conducting a competition, the board of directors of Komunalno selected and appointed the former executive director of that municipal company, Vučeta Stanišić, as director in the new four-year term. The only opponent to Stanišić in that contest was the current president of the Tivat Municipal Assembly and the leader of the OO New Serbian Democracy Miljan Markovic.

    However, after the Board of Directors did not elect him, Marković, from the position of the president of the local parliament who should formally approve the decision of Komunal’s management on the election of a new executive director, began to make it difficult to implement that procedure before the Assembly, even though the decision on the election of Stanišić was delivered to the parliament in a timely manner.

    Since the Municipal Council of Tivat did not decide on this decision within the prescribed period, until the end of Stanišić’s previous directorship, the President of the Municipality Željko Komnenović in order to ensure the continuity of the work of the Utility Company, using the powers from the Law on Local Self-Government, on January 26, made a decision in which consent was given to that decision of the Board of Directors. In the meantime, however, the three-month validity period of Komnenović’s act expired, so Komunalno was in danger of being left without an executive director.

    “As the Municipal Assembly did not decide on the relevant Decision of the Board of Directors, and due to the termination of the validity of the Decision of the President of the Municipality by force of law, a legal situation has arisen that may lead to difficult or impossible legal representation and representation of the Company. DOO Komunalno Tivat performs communal activities of public interest that must be carried out continuously and without interruption, including waste management, maintenance of public hygiene, funeral activities and other activities of importance for citizens and the economy of the municipality of Tivat, especially bearing in mind the upcoming period of the tourist season”, they stated are from the Board of Directors yesterday.

    They reminded of the provisions of articles 39 and 40 of the Municipal Statute, which “prescribe the announcement of a new competition, i.e. the appointment of an acting executive director only in the case when the Board of Directors does not appoint an executive director or when the Founder does not agree to the decision to appoint an executive director.”

    “As in the specific case the Board of Directors made a timely Decision on the appointment of the Executive Director after a public competition, while the Founder did not make a decision refusing to give consent, but by the date of this Decision he had not acted on the relevant Decision of the Board of Directors, the conditions for the application of the provisions of Article 39 and Article 40 of the Statute did not arise. The Board of Directors additionally took into account that the eventual appointment of an acting Executive Director, as a temporary solution, in the current circumstances could create additional legal uncertainty regarding registration and the implementation of such a decision before the Central Register of Business Entities, bearing in mind the obligation to harmonize the organization and operation of the Company with the provisions of the new Law on Business Companies, as well as open issues regarding the status form and method of registration of the incumbent in the transitional period. For the aforementioned reasons, and in order to prevent the blocking of business and to ensure the continuity of the legal representation of the Company until the final decision of the Founder, the Board of Directors applied the authorization from Article 43 of the Statute,” the explanation states.

    Marković: I’m not making it difficult, there are no councilors already

    The President of Tivat Municipality, Miljan Marković, denied that he deliberately made it difficult to schedule the session of the local parliament, where, among others, there had to be a decision on giving consent to the election of Stanišić as the new/old director of Komunal, for which Mayor Komnenović accuses him. Marković announced that the only reason for not holding the SO session in April was the announced absence of one of the councilors of the ruling coalition, without which they would not have a majority for decision-making. He called out Komnenović that the mayor is to blame that “for two months there was no meeting of the Council of Ministers because you refused to attend the session of the Assembly and the discussion on the report of the commission for Arsenal FC, thereby blocking consideration of other important points.”

    “I note that we established that Commission together with all coalition partners of the government, so when your name was found in the text of the Report in a negative context, that’s when you decided to boycott the work of the Assembly. Such an attitude does not befit a responsible attitude towards the citizens of Tivat who deserve to be publicly informed about how and in what way money is spent at FC Arsenal,” Marković told Komnenović.

    “The Municipal Assembly must not be a flowing cauldron of personal and political interests, but a place where decisions are made in the interests of citizens, responsibly and transparently. That is why it is time to stop political maneuvers and replacing theses, and for everyone to return to their responsibilities, because the citizens of Tivat can see very well who is working in their interest, and who is trying to cover up their own responsibility with political combinations,” answered Komnenović to the president of the local parliament.
