The Minister of the Presidency, Economy, Work and Housing, Conxita Marsol, has announced in press conference that the Government provides for giving of removes around 2,500 inactive companies from the register. However, he warned that the final figure could be “much higher” and approach more than 4,000 companies detected without declaration of beneficial owner. The changes will come thanks to the Bill establishing the procedure for administrative dissolution without liquidation of inactive commercial companies.
As explained by Marsol, these are companies that they have not fulfilled basic obligations such as the deposit of annual accounts, the declaration of the beneficial owner or the payment of taxes, and who also have no real economic activity, neither workers nor commercial establishments.
The procedure provides that, once possible inactivity is detected, sopen a file and grant the company a deadline to present allegations. The complete process will have a maximum duration of six monthswith the possibility of appeal and an additional period of a month to regularize the situation for those employers who wish it.
Among the sanctions foreseen, fines of between 2,500 and 15,000 euros stand out for not declaring the beneficial owner and up to 2,000 euros for not depositing accounts. In case of immediate payment, it can be applied a reduction of 25%. However, the most relevant penalty will be the administrative dissolution of the company.
Marsol has highlighted that this initiative could also have one indirect impact on the housing market, since it is planned to cross the data on the empty floors that are currently held to detect possible inactive companies in these properties.
The Government will process the law for the emergency route with the will that can enter into effective in Junealthough the timetable will depend on the amendments of the parliamentary groups. The minister has emphasized that it is of a “necessary” measure to clean up the register of companies and ensure that it “reflects the economic reality of the country”.
