The legal advisor for the buyer was the law firm Cobalt, and the financial advisor was the LHV investment banking team. The transaction does not include the Prisma brand or the Sokos Hotel Viru. The parties will not disclose the value and other terms of the deal. However, it is considered the largest domestic retail merger in Estonian history.
The transaction requires the approval of the Estonian Competition Authority. “We hope that obtaining the permit will go smoothly and as quickly as possible,” Rainer Rohtla said. The approval is expected sometime in 2026.
Coop is Estonia’s largest and oldest food and consumer goods chain, consisting of 18 local consumer cooperatives and a central cooperative that coordinates their activities. The group has approximately 320 stores across Estonia, from large cities to small towns, and is the sole provider of food and consumer goods in many regions. Coop’s net turnover in 2024 reached 856.1 million euros, establishing it as the market leader in Estonia with a 23.16 percent market share. Coop employs nearly 6,000 people in Estonia.
Prisma Peremarket has operated in Estonia since 2000. The chain has 13 stores in Tallinn, Harju County, Tartu, Narva, and Rapla, which, together with their support unit, employ over 700 people. Prisma Peremarket AS’s parent company, SOK, is part of Finland’s largest retail group, S-Group.
